Terms and Conditions
The following Terms and Conditions apply to all design, documentation, artwork and related services provided by Between the Pixels.
By accepting a quotation, estimate or engaging Between the Pixels to provide services, the client acknowledges and agrees to these Terms and Conditions.
Project Acceptance
Project quotations and estimates provided by Between the Pixels are supplied via email and remain valid for the period stated within the quotation or estimate document.
Work will not commence until written acceptance of the quotation, estimate or project scope has been received from the client via email and/or official purchase/work order documentation.
Between the Pixels reserves the right to decline, suspend or discontinue projects at its discretion.
Design Fees & Payment
Fees for services will be outlined within the relevant quotation, estimate or agreed project correspondence.
Unless otherwise agreed in writing:
Government and public sector clients will be invoiced upon project completion, staged release, End-of-Financial-Year requirements or other agreed milestones.
Private sector, non-government and individual clients may require a deposit prior to commencement of work.
Additional work requested outside the originally quoted scope may incur additional charges.
Invoices are payable within 30 days unless otherwise agreed in writing.
Between the Pixels reserves the right to withhold release of final files or deliverables until all outstanding invoices have been paid in full.
Accounts remaining unpaid beyond the agreed payment period may incur additional recovery costs, administrative fees and/or interest charges where permitted by law.
Project Scope & Variations
Standard pricing and/or itemised estimates are based on the initial project scope, information, files, software/platform requirements, and standard project complexity provided by the client at the time of quoting. Final costs are determined by the total number of pages produced and changes requested throughout the project. Where project requirements evolve following commencement — including extensive revisions, software/platform changes, technical issues, formatting remediation, accessibility correction, scripting, workflow changes, or significant layout rework — additional charges or hourly rates may apply where appropriate.
Artwork categories, page rates and standard pricing examples are intended as a general guide only and may be assessed under alternate pricing structures depending on artwork type, layout structure, workflow requirements or overall project complexity.
Where requested changes extend beyond standard revision scope — including substantial content additions, restructuring, redevelopment, or extensive reworking of existing artwork — changes may be treated as new work and charged accordingly.
Unless otherwise requested by the client prior to commencement, submitted changes and revision requests will be considered authorised for action under the agreed pricing structure and Terms & Conditions.
Between the Pixels reserves the right to determine the most appropriate production method, software platform, workflow structure or technical implementation approach unless otherwise specifically agreed in writing.
Client Responsibilities
Clients are responsible for supplying accurate, complete and final content, including text, images, data, workflow requirements and supporting documentation required for the project.
The client warrants that any supplied material does not infringe copyright, trademark, confidentiality or other legal protections and that all necessary permissions have been obtained prior to supply.
The client remains responsible for:
reviewing all supplied drafts and proofs
verifying content accuracy
confirming workflow requirements
confirming accessibility requirements
confirming print and production requirements
ensuring approvals are obtained from relevant stakeholders prior to release or implementation
Client Review & Approval
Clients are responsible for reviewing all supplied drafts, proofs, exports and final files prior to approval, publication, distribution or print production.
Approval provided by the client via email, written confirmation or release to print/production constitutes acceptance of the final artwork, content, formatting, workflow logic and supplied files.
Between the Pixels will not be held responsible for:
spelling or grammatical errors
layout or formatting issues
content inaccuracies
workflow or form logic issues
accessibility oversights
printing defects arising after approval
third-party production issues
implementation issues
output issues resulting from modifications made by others after delivery
consequential losses or costs resulting from approved artwork or documentation
Any liability relating to services provided by Between the Pixels shall be limited to the fees paid for the relevant project.
Working Files & Source Files
Unless otherwise agreed in writing, Between the Pixels retains ownership of all working files, source files, editable production files, concepts, development files, scripts, templates and internal production materials created during the course of a project.
Final approved deliverables supplied to the client may include print-ready PDFs, exported artwork, interactive PDFs or other agreed output formats relevant to the project scope.
Editable source or production files (including but not limited to Adobe InDesign, Illustrator, Photoshop, LiveCycle/XFA, Microsoft Office or other working files) are not automatically included as part of project delivery and may be released at the sole discretion of Between the Pixels, subject to written agreement and any applicable additional fees.
Between the Pixels may retain project files, backups and production materials for archival and operational purposes. Clients may request deletion of retained files in writing; however, Between the Pixels accepts no responsibility for future recovery, re-supply or reconstruction of deleted materials once removal has been completed.
External Modifications & Version Control
Between the Pixels is only responsible for the integrity, functionality, accessibility and quality control of files directly supplied and maintained by Between the Pixels.
Any files altered, reformatted, edited, redistributed or otherwise modified by the client or third parties after delivery will no longer be considered controlled, quality-assured or maintained by Between the Pixels artwork or documentation.
Where externally modified files are later returned to Between the Pixels for further work, Between the Pixels reserves the right to:
assess the condition and integrity of the supplied files
determine whether redevelopment or reconstruction is required
rely on Between the Pixels' own archived records and source files where available
refuse continued use of externally modified production files where quality, functionality, accessibility, workflow integrity or production reliability may be impacted
Additional charges may apply where externally modified files require investigation, repair, rebuilding, accessibility remediation or workflow correction prior to further work being undertaken.
Copyright & Licensing
Copyright of all concepts, draft artwork, layouts, designs, working files, source files and production materials remains the property of Between the Pixels unless otherwise agreed in writing.
Clients are granted a licence to use final approved deliverables for their intended operational, organisational or commercial purpose following full payment of all applicable invoices.
No artwork, design, documentation or supplied files may be resold, redistributed, modified for resale or repurposed outside the originally intended scope without written permission from Between the Pixels unless otherwise agreed.
Any third-party fonts, stock imagery, software, plugins or licensed materials remain subject to their respective licence agreements and usage restrictions.
The engagement of Between the Pixels for design, documentation or workflow-related services does not transfer ownership of underlying production methods, template systems, workflow structures, scripting approaches, development methodologies or internal production processes unless explicitly agreed in writing.
Unless otherwise agreed, supplied deliverables are licensed for the client’s intended operational use only and do not include rights to reproduce, commercialise, redevelop, redistribute or repurpose Between the Pixels' underlying production systems, templates or proprietary development approaches for external supply, resale or unrelated third-party use.
Accessibility & Platform Limitations
Where accessibility considerations or accessible PDF workflows are requested, Between the Pixels will make reasonable efforts to incorporate accessibility features and best-practice considerations appropriate to the intended output, software capabilities and project scope at the time of production.
Accessibility outcomes may vary depending on:
third-party software
PDF viewers
operating systems
assistive technologies
document complexity
platform limitations
subsequent document modification by others
Between the Pixels cannot guarantee ongoing compliance across all environments, software versions or future accessibility standards after project delivery.
Print Production & Output
Between the Pixels will take reasonable care in preparing files for print or digital output based on the information supplied by the client and the agreed project requirements.
Final responsibility for approving artwork, production files, print quantities, implementation workflows and released outputs remains with the client.
Between the Pixels is not responsible for:
printer errors
third-party production outcomes
colour variation between devices or print runs
output inconsistencies caused by external systems or software
modifications made after file delivery
implementation issues outside Between the Pixels' direct control
Third-Party Tools & AI-Assisted Workflows
Between the Pixels may utilise industry-standard third-party software, automation systems and AI-assisted tools to support workflow efficiency, proofreading, formatting, language assistance, accessibility review or production processes where appropriate.
Reasonable care will be taken to avoid the unnecessary disclosure of confidential or sensitive information when using such systems. However, clients acknowledge that certain workflows may involve third-party software environments and cloud-based processing systems as part of normal modern digital production practices.
Project Timeframes
Any project timeframe, completion date or delivery estimate provided by Between the Pixels is an estimate only and may be impacted by:
client response times
stakeholder review periods
project scope changes
supplied content delays
third-party suppliers
software or technical limitations
operational requirements outside Between the Pixels' control
Between the Pixels will not be held liable for project delays arising from factors outside its reasonable control.
Portfolio & Promotional Use
Between the Pixels may display completed work, project excerpts or design samples for portfolio, demonstration or promotional purposes unless otherwise agreed in writing or where confidentiality restrictions apply.
Sensitive, confidential or restricted material will not knowingly be publicly disclosed.
Confidentiality
Between the Pixels will take reasonable care in handling confidential or sensitive information supplied during the course of a project.
Clients acknowledge that digital production workflows may involve email communication, cloud-based systems, third-party software platforms and external file transfer systems as part of normal operational processes.
Cancellation & Suspension
Projects cancelled or suspended after commencement may incur charges for work completed, time spent, production costs or third-party expenses incurred up to the date of cancellation.
Between the Pixels reserves the right to pause or terminate projects where:
invoices remain unpaid
communication ceases for extended periods
abusive or inappropriate conduct occurs
project requirements substantially change beyond the agreed scope
Disclaimer & Limitation of Liability
Between the Pixels provides services using reasonable professional care and industry-standard practices; however, all services and deliverables are supplied without guarantee of uninterrupted functionality, regulatory acceptance or compatibility across all systems, environments or future technologies.
Between the Pixels will not be liable for:
indirect or consequential loss
business interruption
operational loss
data loss
implementation issues
third-party system failures
regulatory or organisational decisions
losses arising after client approval or release to production
Any liability relating to services provided by Between the Pixels shall be limited to the fees paid for the relevant project.
General
These Terms and Conditions supersede any previously issued Terms and Conditions distributed by Between the Pixels.
Between the Pixels reserves the right to update or amend these Terms and Conditions at any time without prior notice.
The continued engagement of services following any update constitutes acceptance of the revised Terms and Conditions.
Acceptance
Acceptance of a quotation, estimate, work order or engagement of services provided by Between the Pixels constitutes acceptance of these Terms and Conditions.
Terms & Conditions effective 2026
